The terms and conditions that govern our working relationship.

Agreement Overview
These terms govern the provision of web design, development, and related digital services by 365i Web Design (trading name of BSolve IT Limited, company number 4607330), referred to as "we", "us", or "the Agency".
By engaging our services, you ("the Client") agree to these terms. A formal project proposal or quote will outline specific deliverables and any additional terms for your project.
Services
We provide web design, development, and digital services including but not limited to:
- Website design and development
- WordPress development and customisation
- E-commerce solutions
- Search engine optimisation (SEO)
- AI visibility services
- Website speed optimisation
- Website maintenance and support
Specific deliverables for your project will be defined in a written proposal or statement of work.
Quotations and Proposals
All quotations are valid for 30 days from the date of issue unless otherwise stated. Quotes are based on the information provided at the time of enquiry; significant changes to requirements may affect pricing.
A project begins upon receipt of the deposit and written confirmation (email is acceptable) to proceed.
Getting Started
We exclusively work on and support websites hosted at 365i. Before web design work can begin, you will need:
- A 365i account - Create a free account at 365i Hosting
- WordPress Business Hosting - From £14.99/month (first month just £1)
A free UK domain name can be claimed when you purchase hosting. Once your hosting is active, we can begin work on your custom website.
Why WordPress Business Hosting?
We require the Business Hosting plan for web design projects because it includes essential features:
- Daily timeline backups - essential for safe development and easy restoration
- Free SSL certificate - secure HTTPS for your website
- Unlimited 10GB mailboxes - professional email for your domain
- Virus and spam protection - with customisable filter and blocking options
- Automatic daily malware scanning - keeping your website secure
- Monthly 365i Premium Care report - regular insights into your website's health
Hosting plans are available as hosting only, or with ongoing maintenance and support included. You can add the maintenance option to your plan at any time.
This hosting requirement ensures we can provide the best possible support, performance optimisation, and seamless project delivery.
Payment Terms
Pricing
All prices quoted are exclusive of VAT. VAT at the current rate will be added where applicable. We will always confirm the total including VAT before you commit.
Standard Payment Structure
- 50% deposit - due before design work commences
- 50% balance - due upon project completion, before your website goes live
For larger projects, we may agree alternative payment milestones in writing.
Payment Methods
All invoicing is handled through your 365i account. Once we've discussed your requirements, we'll create a custom quote which you can review and pay securely using:
- Credit or debit card
- PayPal
Hosting Payments
WordPress hosting is billed separately through your 365i account, either monthly or annually. Hosting fees are independent of web design project fees and are subject to the 365i Hosting terms of service.
Late Payment
Project invoices are due within 14 days of issue. We reserve the right to charge interest on overdue amounts at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts Act.
Work may be paused on projects with outstanding invoices until payment is received.
Project Timeline
Estimated timelines will be provided in your proposal. Timelines depend on:
- Timely provision of content, images, and feedback
- Prompt responses to questions and approval requests
- Scope remaining consistent with the agreed brief
Delays caused by late client responses may extend the project timeline. We will keep you informed of any impact on delivery dates.
Revisions and Changes
Included Revisions
Each project includes a reasonable number of revisions at key stages (typically concept, design, and pre-launch). The specific revision process will be outlined in your proposal.
Additional Revisions
Revisions beyond those included, or changes outside the original scope, will be quoted separately and charged at our hourly rate. We will always seek approval before proceeding with chargeable work.
Scope Changes
Significant changes to project scope after work has begun may require a revised quote. We will discuss any cost implications with you before proceeding.
Client Responsibilities
To ensure project success, you agree to:
- Provide all required content, images, and brand assets in a timely manner
- Respond to emails and requests for information within 14 days
- Provide feedback and approvals within 14 days of receiving work for review
- Ensure you have the rights to use all content provided to us
- Provide accurate information about your business and requirements
- Test and review work at each stage and provide clear feedback
- Make final payment before launch or handover
Project Inactivity and Abandonment
We understand that circumstances change, but we cannot hold projects indefinitely while waiting for client input. The following applies to all projects:
- If we do not receive a response to requests for information, content, feedback, or approvals within 30 days, the project will be placed on hold and you will be notified
- If a further 30 days pass without meaningful communication (60 days total inactivity), the project will be deemed abandoned by the client
Upon project abandonment:
- All fees already paid (including deposits) are non-refundable
- You will be invoiced for any additional work completed beyond the deposit value, up to the total agreed project cost
- No further work will be undertaken unless a new agreement is reached
- Any work completed may be provided to you upon payment of all outstanding invoices
We will make reasonable attempts to contact you before deeming a project abandoned, but the responsibility for maintaining communication lies with the client.
Intellectual Property
Ownership Transfer
Upon receipt of final payment in full:
- You own all custom design work and code created specifically for your project
- You own all content you provided (text, images, logos)
Portfolio Rights
We retain the right to display the completed work in our portfolio, case studies, and marketing materials, unless you request otherwise in writing.
Third-Party Assets
Some projects may include third-party assets (stock images, fonts, plugins) which remain subject to their respective licences. We will advise you of any ongoing licence requirements.
Images and Media We Supply
Images we source and provide for your website, including stock photography (from providers such as Adobe Stock, iStock, Shutterstock), original artwork, and AI-generated imagery, are licensed to 365i and are subject to the following restrictions:
- These images are licensed for use only on websites hosted at 365i
- The licences are non-transferable and non-sublicensable, and we cannot transfer image rights to you
- You may not use these images on websites hosted elsewhere, in print materials, or for any other purpose
- If you move your website away from 365i Hosting, you may not take these images with you
This is not a restriction we impose arbitrarily. It reflects the licensing terms of stock image providers, which prohibit the transfer or sublicensing of image rights. We are legally bound by these terms and cannot grant rights we do not have.
Images you own and provide to us (your own photographs, logos, graphics) remain yours and can be used wherever you choose.
If you require images with broader usage rights or full ownership, we can advise on purchasing extended licences or commissioning original photography, which would be quoted separately.
Pre-Payment
Until final payment is received, all work remains our intellectual property.
Warranty and Support
90-Day Warranty
We provide a 90-day warranty period after project launch, during which we will fix:
- Bugs or errors in our code
- Issues with functionality we implemented
- Problems arising from our work that prevent normal operation
What's Not Covered
The warranty does not cover:
- Issues caused by third-party modifications
- Conflicts with plugins or software updated after launch
- Any plugin functionality, including plugins we have developed (see WordPress Plugins section below)
- New feature requests or design changes
- Content updates or additions
- Websites moved away from 365i Hosting
Important: Warranty and support are only available for websites that remain hosted at 365i. If you move your website to another hosting provider, we will no longer be able to provide support.
Ongoing Support
After the warranty period, ongoing support and maintenance is available by adding the maintenance and support option to your 365i hosting plan. This can be added at any time through your 365i account. Alternatively, ad-hoc support is available on an hourly basis.
Priority support is provided through the 365i helpdesk ticket system, accessible from your 365i account. This ensures all requests are tracked and handled efficiently.
Cancellation
Client Cancellation
If you wish to cancel a project after it has commenced:
- The deposit is non-refundable
- You will be invoiced for any additional work completed beyond the deposit value
- Any work completed may be provided to you upon payment
Our Right to Cancel
We reserve the right to cancel a project if:
- Payment is significantly overdue (30+ days)
- Communication breaks down despite reasonable attempts to resolve
- The project scope changes fundamentally from what was agreed
- Continuing would compromise our professional standards or values
In such cases, you will be invoiced for work completed to date.
No Guarantee of Results
While we implement industry best practices for SEO, AI visibility, and website performance, we cannot and do not guarantee:
- Specific search engine rankings or positions
- Increased website traffic or visitor numbers
- AI search visibility or mentions in AI-generated responses
- Increased sales, enquiries, revenue, or conversions
- Any specific business outcomes
Search rankings and AI visibility depend on numerous factors beyond our control, including search engine algorithm changes, competitor activity, market conditions, and the quality of your products or services.
We provide the technical foundation and strategic implementation to give your website the best possible chance of success, but results cannot be guaranteed by any agency. Be extremely cautious of any provider who claims otherwise. Such guarantees are not credible.
Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to the total fees paid for the project
- We are not liable for indirect, consequential, or incidental damages
- We are not liable for loss of profits, data, or business opportunities
- We are not responsible for third-party service failures (hosting, domain registrars, etc.)
Nothing in these terms excludes liability for death, personal injury, or fraud.
Confidentiality
We treat all client information as confidential and will not disclose it to third parties without your consent, except where required by law or necessary to deliver the project (e.g., communicating with your hosting provider).
Similarly, we ask that you keep any proprietary processes or methods we share confidential.
Third-Party Services
Projects may involve third-party services (hosting, domains, plugins, APIs). We can advise on these services but:
- Third-party services are subject to their own terms and pricing
- We are not responsible for changes, outages, or discontinuation of third-party services
- Ongoing costs for third-party services are your responsibility
WordPress Plugins and Extensions
Your website may use WordPress plugins, both third-party plugins and plugins we have developed. Regarding all plugins:
- Plugins are separate products from your web design project and are not covered by project warranties
- We provide no warranty, guarantee, or liability for any plugin functionality, compatibility, or continued operation
- Plugins may be updated, discontinued, or become incompatible with WordPress or other plugins at any time
- Plugin conflicts, bugs, or security issues are not covered under your project warranty
- Support for plugin-related issues is available on an hourly basis or via a maintenance plan
This applies equally to plugins we have developed and maintain. Our plugins (such as those available through the WordPress plugin directory) are provided "as is" under their own licences, separate from any web design engagement. Their inclusion in your project does not extend any project warranty to cover plugin functionality.
Hosting and Domains
All websites we build and support must be hosted at 365i Hosting. This requirement:
- Ensures optimal performance and security for your website
- Allows us to provide comprehensive support and maintenance
- Enables seamless project delivery and updates
Hosting fees are billed separately through your 365i account. Domain names can be registered through 365i (with a free UK domain included with hosting plans) or transferred from another registrar. Either way, domains remain registered in your name and you retain full ownership.
We are unable to provide design, development, or support services for websites hosted elsewhere.
Force Majeure
Neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, pandemic, war, government actions, or infrastructure failures. Affected timelines will be extended accordingly.
Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
Amendments
We may update these terms from time to time. Changes will not affect projects already in progress under previously agreed terms. The current version is always available on this page.
Entire Agreement
These terms, together with any project proposal or statement of work, constitute the entire agreement between us. Any variations must be agreed in writing.
